1. Introduction

These Terms of Service ("Terms") govern your use of LLMDeploy's services, software, and website (collectively, the "Services") provided by MAX M LTD, a company incorporated in Cyprus ("Company," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our Services.

2. Services Description

LLMDeploy provides on-premises Large Language Model (LLM) deployment solutions for enterprise clients, including but not limited to:

• Custom LLM deployment and configuration
• Infrastructure assessment and optimization
• Compliance and governance tools
• Technical support and maintenance
• Training and documentation

3. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to use our Services:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services

4. Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by MAX M LTD, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services solely for your internal business purposes in accordance with these Terms.

5. Privacy and Data Protection

Your use of our Services is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the Services and informs users of our data collection practices.

As our Services are designed for on-premises deployment, you maintain full control and responsibility for any data processed through the deployed systems. We do not have access to your data unless explicitly granted for support purposes.

6. Fees and Payment

The fees for our Services are as set forth in your specific service agreement or order form. All fees are non-refundable unless otherwise specified in writing.

• Payment terms are net 30 days from invoice date unless otherwise agreed
• Late payments may incur interest at 1.5% per month or the maximum rate permitted by law
• You are responsible for all taxes associated with your purchase

7. Warranties and Disclaimers

We warrant that our Services will be performed in a professional and workmanlike manner in accordance with industry standards. However, the Services are provided "AS IS" and "AS AVAILABLE" without warranty of any kind.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAX M LTD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAX M LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall our aggregate liability exceed the amounts actually paid by you to us in the twelve (12) months preceding the event giving rise to the liability.

9. Indemnification

You agree to indemnify, defend, and hold harmless MAX M LTD, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

10. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Services will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Cyprus.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
